1. Introduction and Company Details


These Terms and Conditions govern the use of the website Sofyre.com (the “Website”) and all purchases of products, subscription-based refill programs, and related services offered through the Website. In these Terms and Conditions, “Sofyre,” “we,” “us,” or “our” refers to the Website operator and seller of record, and “you” or “customer” refers to any person accessing the Website or purchasing products or services.


The Website is operated by Sofyre LLC, a limited liability company organized under the laws of the State of New York, United States. Unless otherwise specified on the Website, Sofyre LLC is the contracting entity responsible for the sale of products and services offered through the Website. The company conducts business globally and offers products to customers located in the United States, the European Union, the United Kingdom, and other international jurisdictions.


Subscription Policy

1. Ongoing Subscription Terms

By purchasing a subscription, you agree that your subscription will automatically renew every month and will continue until you cancel it. Your chosen payment method will be charged once every 30 days unless canceled according to this policy.

2. Cancellation Policy & Deadline

You may cancel your subscription at any time; however:
Cancellation requests must be submitted at least 3 days before your next billing date to avoid being charged for the upcoming month.


If a cancellation request is made within 3 days of the next scheduled charge, the renewal may still process and will not be eligible for a refund. Once a renewal has been billed, the order is considered final.

3. Recurring Charges
The recurring price of your subscription is the amount shown at checkout and will be charged automatically each month unless you cancel. There is no trial period or introductory pricing, so the amount charged on your first order will be the same for every renewal unless you change your subscription. Any free bag or promotional item included with your initial order will not be included in future renewals.

The total recurring charge will be $29.99 multiplied by the quantity you selected, minus any quantity discount at checkout.
Example: If you subscribe to 2 units → ($29.99 × 2) × discount.

4. Payment Method
By starting a subscription, you authorize automatic charges to the payment method you provided at checkout (credit card, debit card, Shop Pay, PayPal, or other approved methods).
You are responsible for ensuring your payment method remains valid and up to date.

5. Length of Subscription Term
Subscriptions are billed monthly and renew every 30 days unless canceled in advance.
There is no set end date — the subscription continues until you cancel.

6. Minimum Purchase Obligation
There is no minimum subscription length and no required number of orders.
You may cancel anytime as long as cancellation occurs at least 3 days before your next billing date.

7. Additional Terms
There are no early termination fees.
No partial refunds are issued for unused subscription time. If a payment fails, the company may retry the charge automatically until updated payment information is provided.


Chargeback or dispute abuse may result in blocked future purchases.
Prices may change with advance notice, and you may cancel if you do not agree to the new pricing.

By accessing the Website, placing an order, subscribing to recurring deliveries, or otherwise using our services, you agree to be bound by these Terms and Conditions and all policies incorporated herein by reference, including our Privacy Policy, Cookies Policy, Shipping Policy, and Return and Refund Policy where applicable. If you do not agree with these Terms, you must discontinue use of the Website and refrain from purchasing products or services.


You represent that you are at least eighteen (18) years old or the age of legal majority in your jurisdiction and legally capable of entering into binding contracts.


2. Scope of Terms and Acceptance

These Terms and Conditions apply to all purchases, subscriptions, browsing activities, communications, and interactions conducted through the Website. Additional policies referenced throughout these Terms form part of the contractual agreement between you and Sofyre.


The contract between you and Sofyre is formed only after we have accepted your order and issued an order confirmation email confirming that payment has been authorized and the order has entered processing. Submission of an order through the checkout process constitutes an offer to purchase, but does not guarantee acceptance. We reserve the right to refuse or cancel orders for lawful reasons including product unavailability, suspected fraud, pricing inaccuracies, export restrictions, violations of these Terms, or concerns regarding payment authorization.


If an order cannot be fulfilled after payment has been authorized, we will notify you and issue a refund using the original payment method.


3. Product Information and Pricing

We strive to ensure that all product descriptions, photographs, specifications, compatibility information, refill program details, and pricing information presented on the Website are accurate and up to date. However, minor variations in packaging, color, dimensions, or appearance may occur due to manufacturing updates, display settings, or product improvements.


Unless otherwise indicated, all prices displayed on the Website are shown in United States Dollars (USD). Customers purchasing from jurisdictions outside the United States may see estimated localized pricing for convenience purposes, but transactions are processed in USD or the currency specified at checkout.


Prices displayed on the Website do not include customs duties, import taxes, value-added tax (VAT), goods and services taxes (GST), brokerage fees, or other governmental charges unless explicitly stated during checkout. Customers outside the United States are responsible for complying with their local import regulations and paying any applicable duties or taxes imposed by customs authorities.


We reserve the right to correct pricing errors, typographical mistakes, or inaccuracies at any time. If a pricing error materially affects an order already placed, we will contact you with the option to proceed at the corrected price or cancel the order for a full refund.


4. Orders and Contract Formation

When placing an order through the Website, you agree that all information submitted is truthful, accurate, current, and complete. Orders may be placed either as one-time purchases or through recurring subscription refill programs where offered.


After submitting your order, you will receive an initial acknowledgment email confirming receipt of your request. This acknowledgment does not constitute acceptance of your order. A legally binding contract is formed only once we send a separate order confirmation email confirming acceptance and shipment processing.


We reserve the right to limit quantities, reject orders, or refuse service to any customer where reasonably necessary to protect the business, comply with law, prevent fraud, or address suspected abuse of promotions, subscriptions, or refund programs.


Payment and Billing

We accept major credit cards and other payment methods as listed at checkout. All payments are processed via secure payment gateways. By submitting payment information, you represent that you are authorized to use the provided payment method and you authorize us (and our payment processor) to charge the full order amount (including any applicable taxes, shipping fees, subscription charges, and recurring refill charges where applicable) to that payment method.


For one-time purchases, your payment will be charged immediately upon our acceptance of your order. For subscription services and recurring refill programs, please refer to the “Subscriptions and Recurring Payments” section below. All billing information must be truthful and accurate; providing false, misleading, or unauthorized billing information constitutes a breach of these Terms.


Cancellation and Subscription Terms

How to Cancel:
To cancel your subscription or order, click the “Cancel My Membership” button or contact support.

Ongoing Subscription Terms:
Subscriptions automatically renew every 30 days and continue until canceled. Your payment method will be charged on a recurring basis.

Cancellation Deadline:
Cancellations must be submitted at least three (3) days before the next billing date. Requests made within 3 days of renewal may still be processed and are not eligible for refund.


Recurring Charges:
You authorize recurring monthly charges at the price shown at checkout. No trial or introductory pricing applies. Promotional items from initial orders are not included in renewals.
Recurring charge example: ($29.99 × quantity) minus applicable discounts.

Payment Authorization:
You authorize automatic billing to your selected payment method. You are responsible for keeping payment details current.

Subscription Term:
Subscriptions renew indefinitely every 30 days until canceled. No minimum commitment is required.

Additional Terms:
No early termination fees apply.
No partial refunds for unused billing periods.
Failed payments may be retried automatically.
Abuse of chargebacks may result in account restriction.
Prices may change with notice; you may cancel if you disagree.


We do not store your full payment card details on our systems; payments are handled by our PCI-compliant payment service providers. Prices, subscription fees, shipping costs, and applicable charges are subject to change, but no change will affect orders you have already placed and received a confirmation for.


Subscriptions and Recurring Payments

We offer certain products and services on a subscription basis (for example, recurring refill shipments, replenishment programs, or discounted subscription purchase options). Before you finalize any subscription order, we will clearly present the subscription terms, including the billing interval (e.g. monthly, bi-monthly, quarterly, or annually), the recurring price per billing cycle, any promotional terms, and any minimum commitment period if applicable. By purchasing a subscription, you acknowledge that (a) your subscription contains recurring payment features, and you accept responsibility for all recurring charges until you cancel the subscription, and (b) you are authorizing us to charge your designated payment method automatically on each recurring billing date.


Free Trials and Promotions: If a subscription begins with a free trial, discounted introductory offer, or promotional pricing period, we will clearly disclose the duration of the offer and the recurring billing amount that will apply once the promotional period expires. Unless you cancel before the end of the applicable promotional period, your payment method will automatically be charged the regular subscription rate at the conclusion of the trial or promotional term and at the recurring intervals thereafter.


Affirmative Consent: By clicking “Place Order,” “Subscribe,” “Start Subscription,” or a similar button during checkout for a subscription product, you acknowledge that the order includes an obligation to pay recurring charges until canceled. You may also be required to check a box or otherwise expressly consent to recurring billing terms in compliance with applicable U.S. federal and state automatic renewal laws (including New York General Business Law §527-a and similar statutes), the FTC Negative Option Rule, and applicable consumer protection requirements in the EU and UK. We will provide a confirmation email containing the material subscription terms and recurring billing details after enrollment, creating a record of your authorization.


Cancellation of Subscriptions: You may cancel your subscription at any time by contacting us at help@Sofyre.com or through any available self-service cancellation feature provided within your customer account. You will be able to cancel online without being required to call us or provide a reason for cancellation, consistent with applicable consumer protection requirements. Cancellation will stop future recurring charges, and unless otherwise required by law, cancellation will become effective at the conclusion of the current billing cycle. This means you will continue to receive subscription benefits or refill shipments through the end of the paid subscription period. We do not impose cancellation fees; however, we generally do not provide pro-rated refunds for unused portions of a billing cycle except where required by law. We will provide written confirmation of cancellation by email for your records. If you experience any issue relating to cancellation or believe you were charged after attempting to cancel, please contact us promptly and we will investigate and address the issue in good faith.


Renewal Reminders: If required by applicable law, including certain U.S. state laws relating to automatic renewals, we may send reminder notices regarding upcoming renewals, recurring billing dates, or pricing changes before renewal occurs. We strive to make subscription terms transparent, accessible, and easy to manage in compliance with applicable consumer protection laws, including the EU Omnibus Directive and related legislation.


Nothing in these subscription terms is intended to create unfair contract terms or limit non-waivable consumer rights under applicable law. These Terms describe the legal requirements governing recurring payment authorization, cancellation rights, renewal notices, and subscription management mechanisms. The actual technical implementation of subscription enrollment, billing consent, recurring charges, renewal notices, and cancellation functionality on the Website will be maintained in a manner intended to comply with applicable legal requirements.


Shipping and Delivery

We handle product shipment pursuant to our detailed Shipping Policy (see Shipping Policy section below), which is incorporated here by reference. Key terms include:


• Processing Time: Orders are typically processed and dispatched within 1–3 business days after order confirmation unless otherwise noted. We will notify you of any significant or unforeseen delay in dispatch.


• Delivery Times: Delivery estimates will be provided at checkout (for example, standard shipping to the United States, European Union, or United Kingdom may typically range from 5–14 business days depending on destination and shipping method). Please note these are estimates only and are not guaranteed delivery dates, as delays may occur due to customs processing, carrier interruptions, weather conditions, or events outside our reasonable control. We are not responsible for delays caused by circumstances outside our control, but we will assist in tracking and resolving shipment issues where reasonably possible.


• Shipping Costs: Shipping options and associated costs will be clearly displayed during checkout. Any applicable customs duties, import VAT, brokerage charges, or local taxes are generally not included within shipping fees unless expressly stated. You are responsible for such charges where applicable. We do not control and cannot predict customs assessments imposed by local authorities, but we will provide commercially reasonable shipping documentation to facilitate customs clearance.


• Risk of Loss: All orders are shipped with the risk of loss or damage passing to you only when you (or a person designated by you) physically receive the goods. This means that we remain responsible for any loss or damage to Products while they are in transit and prior to delivery. If a package is lost during shipment or arrives materially damaged, please notify us promptly and we will work with you to arrange an appropriate remedy, which may include replacement, reshipment, repair, or refund as appropriate. If you independently arrange your own carrier or pickup method not offered by us, risk may transfer to you when the goods are delivered to your selected carrier, consistent with applicable law. Title to goods passes upon full payment and completed delivery.


Delivery Deadlines and Failure to Deliver: We will make commercially reasonable efforts to deliver orders within the estimated delivery timeframes communicated during checkout. If we cannot fulfill delivery within thirty (30) days of order acceptance, or within another expressly agreed timeframe, you may have the right under applicable law to cancel the order for a full refund. In such circumstances, please contact us regarding non-delivery and we will process any required refund promptly. This does not apply where failed delivery results from inaccurate shipping information provided by the customer or failure to retrieve the package from the carrier or customs authority; however, we will work with you in good faith to arrange reshipment where reasonably possible (additional shipping charges may apply in those circumstances).


Returns and Withdrawal (Cancellation)

We want you to be satisfied with your purchase. Our Return and Refund Policy (detailed in the Return and Refund Policy section below) is incorporated into these Terms. In summary:


• 30-Day Return Guarantee: We offer a 30-day return policy for our products to all customers. If for any reason you are not satisfied with your product or subscription refill purchase, you may return eligible physical products within 30 days of delivery for a refund, exchange, or store credit according to our policy guidelines. Please note the item must be in like-new condition with original packaging and all included components for a full refund (reasonable handling to inspect the product is permitted; see below regarding condition deductions).


• EU/UK 14-Day Right of Withdrawal: If you are a consumer in the European Union or United Kingdom, you are entitled by law to a 14-day “cooling-off” period during which you may cancel your purchase for any reason (or no reason) and obtain a full refund. Our 30-day commercial return policy extends this right, but we expressly guarantee that the statutory 14-day withdrawal right is provided with no penalties, cancellation fees, or unlawful restrictions. The 14-day period begins on the day after you receive the goods. To exercise this right, you must notify us within 14 days of delivery that you wish to cancel. You will then have an additional 14 days to return the product to us. We will process refunds within 14 days of receiving the returned product or proof of shipment, including reimbursement of standard outbound shipping charges where required under applicable EU law.


• How to Initiate a Return/Withdrawal: To initiate a return or withdrawal, contact us at help@Sofyre.com with your order details and a statement that you wish to return the item or cancel the contract. We will respond with return instructions, including the applicable return shipping address and any required materials (such as an RMA number or return form if applicable). EU consumers may, but are not required to, use the model withdrawal form referenced under Directive 2011/83/EU or any equivalent format permitted by applicable law.


• Return Shipping Costs: If you are returning a product because you changed your mind or no longer want it, you will generally be responsible for return shipping costs unless otherwise required by law. We may assist by recommending shipping methods or providing a return label and deducting the associated cost from the refund where commercially feasible. If the return is due to a defective product, shipping damage, fulfillment error, or non-conforming goods, we will bear the reasonable return shipping cost or provide a prepaid return label where available. In all cases, we recommend using a trackable shipping service and securely packaging returned products. You remain responsible for returned goods until they are received by us.


• Condition of Returned Items: Please return products in substantially original condition. You may inspect and handle the product only to the extent reasonably necessary to determine its nature, characteristics, and functionality, similar to what would be permitted in a retail store environment. However, if returned items show signs of misuse, avoidable damage, excessive wear, missing components, or diminished value beyond what is reasonably necessary for inspection, we reserve the right to deduct from the refund an amount reflecting the diminished value of the returned goods, consistent with applicable law. Examples may include significant cosmetic damage, missing accessories, or evidence of improper handling. We will notify you of any such deduction before finalizing the refund.


• Exchanges: If you wish to exchange an item (for example, for a different size, variant, or product option), you may do so by returning the original item according to the procedures above and placing a new order. We will process the applicable refund once the returned product is received and inspected. In cases involving defective, damaged, or incorrectly fulfilled products, we may offer replacement products at our expense as an alternative to refund.


• Non-Returnable Items: Certain products may not be eligible for return due to hygiene, safety, customization, perishability, or other lawful limitations. If any product category is non-returnable once opened or used, this limitation will be clearly stated on the applicable product page. However, this does not affect any rights relating to defective, unsafe, damaged, or misdescribed products under applicable consumer protection laws.


• Return Address: Returns must be sent to the return address provided in the return authorization instructions unless otherwise directed by us. Because fulfillment and return processing may occur through different facilities, customers should not send returns to any address without prior authorization. If regional return centers become available in the future, we may update our return procedures accordingly.


• Refund Processing: Once we receive and inspect your returned item, we will send you a confirmation email regarding the status of the return. Refunds for approved returns will generally be processed to the original payment method within 14 days after receipt of the returned product or proof of shipment, whichever is earlier where required by applicable law. Please note that financial institutions and payment providers may require additional processing time before the refund appears in your account. If outbound shipping fees were originally charged, we will refund those charges where required by law (typically up to the cost of standard shipping for complete order returns). We do not charge restocking fees. Import duties, customs charges, and taxes paid to governmental authorities are generally non-refundable by us, although customers may be able to seek recovery from local customs authorities where applicable.


• Refused Delivery: If you refuse delivery of a package (for example, due to change of mind or visible transit damage), the refusal may be treated as a return. Please notify us if you intend to refuse delivery. Once the package is returned to us by the carrier, we will process it according to our return procedures. No unlawful penalties or restocking fees will be imposed solely for exercising lawful return rights, although return shipping costs may remain your responsibility where permitted by law.


Refund Status and Processing Time
We will notify you once we’ve received and inspected your return, and inform you whether your refund has been approved or not.

If your refund is approved, it will be automatically issued to your original payment method within ten (10) business days. Please note that it may take additional time for your bank or credit card provider to process and post the refund to your account.

If more than fifteen (15) business days have passed since we approved your return and you have not received your refund, please contact us at help@Sofyre.com for further assistance.


These return provisions are designed to comply with and exceed applicable consumer protection laws, including the EU Consumer Rights Directive, UK consumer protection legislation, U.S. consumer protection laws, and related refund regulations. They do not limit any mandatory statutory rights available to consumers. Products that are defective, unsafe, materially damaged, or not as described may qualify for repair, replacement, refund, or other remedies regardless of any commercial return timeframe. Product Quality, Warranties, and Legal Rights

We stand behind the quality of our products and subscription-based refill services. Customers should receive products that conform to the descriptions, specifications, and representations presented on our website and that are of satisfactory quality and reasonably fit for their intended purpose.


Statutory Warranty (EU/UK): If you are an EU or UK consumer, products purchased from us include legal guarantees of conformity under applicable consumer protection laws. If a product is defective, not as described, or fails to conform to legal requirements, you may be entitled to repair, replacement, price reduction, or refund in accordance with applicable law. These statutory rights generally apply for a minimum period of two years from delivery in many EU jurisdictions, or longer where national laws provide extended protections. UK consumers may also benefit from rights under the Consumer Rights Act 2015. Nothing in our policies excludes or limits these mandatory rights. If you experience a product issue during the applicable legal guarantee period, please contact us and we will work in good faith to provide an appropriate remedy consistent with applicable law.


Implied Warranties (U.S.): For U.S. consumers, our products may include implied warranties arising under applicable state law, including implied warranties of merchantability and fitness for a particular purpose where such warranties cannot lawfully be disclaimed. We do not disclaim implied warranties where prohibited by law. For consumers in New York and other jurisdictions where applicable, implied warranties remain in effect for the minimum duration required by law. In addition, we voluntarily stand behind the general quality of our products and may, at our discretion, provide repair, replacement, store credit, or prorated refund remedies where products are defective or materially fail under normal intended use. This commercial assurance is supplemental to, and does not replace or diminish, any statutory rights available under applicable law.

Commercial or Manufacturer’s Warranty: Certain products may include an express commercial warranty, limited warranty, or manufacturer-backed warranty program. Where offered, the applicable warranty terms will be disclosed on the product page, packaging, or accompanying documentation. Such warranties are in addition to any mandatory legal guarantees and do not limit statutory consumer rights. If we offer optional extended coverage plans, subscription protection programs, or similar services, those terms will be presented separately.


How to Obtain Service: If you believe a product is defective, materially damaged, unsafe, or not as described, please contact us at help@Sofyre.com with your order details and a description of the issue. We may provide troubleshooting assistance and, where necessary, instructions for return, inspection, replacement, or repair. If a defect or non-conformity is confirmed, we may provide repair, replacement, refund, or another appropriate remedy. We will aim to provide any required remedy within a commercially reasonable timeframe and without unnecessary inconvenience to the customer.


Limitations: Our warranties and guarantees do not cover damage resulting from misuse, unauthorized modification, improper storage, accidents, abuse, neglect, commercial misuse, or ordinary wear and tear. Consumable products and components may also be subject to ordinary usage limitations. Nevertheless, we will evaluate product concerns in good faith and seek commercially reasonable customer-focused resolutions where appropriate.

 

Limitation of Liability

No Unlawful Exclusions: Nothing in this section (or elsewhere in these Terms) is intended to exclude or limit liability that cannot lawfully be excluded under applicable law. This includes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, gross negligence where applicable, or violation of mandatory consumer protection rights. Specifically, for EU and UK consumers, we do not exclude liability for failure to provide products that conform to legal requirements, and for U.S. consumers we do not exclude liability arising under non-waivable consumer protection statutes or regulations.


Indirect Damages: Subject to the foregoing, Sofyre LLC shall not be liable for any indirect, incidental, consequential, punitive, special, or exemplary damages arising out of or relating to use of the Website, products, subscriptions, or services. This includes, for example, loss of profits, business interruption, reputational harm, loss of opportunity, or loss of data, even where we have been advised of the possibility of such damages. Our products and services are intended for personal consumer use, and we are not responsible for business-related losses arising from unauthorized commercial or resale use.


Direct Damages Cap: Except for liabilities that cannot lawfully be limited, our total cumulative liability arising from or relating to any claim involving products, subscriptions, services, or Website use shall not exceed the total amount paid by you for the specific product or service giving rise to the claim. This limitation applies on a cumulative basis and not per incident, claim, or occurrence.


No Waiver of Consumer Rights: You may have legal rights as a consumer that cannot be excluded, waived, or limited by contract. The limitations set forth above are intended to operate only to the maximum extent permitted by applicable law and shall not restrict mandatory statutory remedies. For example, consumers in the EU and UK retain legal rights relating to faulty or non-conforming products regardless of these limitations. Remedies provided under these Terms are supplemental to any non-waivable rights available under consumer protection laws.


Release for Force Majeure: Sofyre LLC shall not be responsible for failure or delay in performing obligations under these Terms where such failure or delay results from events beyond our reasonable control, including natural disasters, severe weather, war, terrorism, labor disputes, governmental actions, pandemics, supply chain interruptions, transportation disruptions, internet outages, or utility failures (“Force Majeure Events”). However, nothing in this provision removes any right you may have under applicable law to receive a refund for goods or services that cannot ultimately be provided.


Governing Law and Jurisdiction

Governing Law: These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by the laws of the State of New York, United States, without regard to conflict of law principles. However, if you reside outside the United States, you may benefit from mandatory consumer protection laws applicable in your country or jurisdiction of residence, and nothing in these Terms is intended to deprive you of such protections. In particular, if you are a consumer located in the European Union or United Kingdom, the mandatory laws of your country of residence that provide greater consumer protection may continue to apply notwithstanding the choice of New York law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.


Jurisdiction and Arbitration: We encourage customers to contact us first in order to resolve any concerns informally and in good faith. Our customer support contact is help@Sofyre.com, and we will make commercially reasonable efforts to resolve disputes promptly and fairly.


Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Website, subscriptions, products, or services shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules. Arbitration shall be conducted in New York, New York, unless otherwise required by mandatory consumer protection law or agreed by the parties.


Class Action Waiver: To the fullest extent permitted by law, arbitration shall proceed solely on an individual basis. Neither party shall participate in any class action, collective action, representative proceeding, consolidated arbitration, or private attorney general action relating to claims covered by this arbitration provision. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that individual claim.


Nothing in this arbitration provision limits a party’s ability to seek temporary injunctive relief, pursue qualifying claims in small claims court where permitted, or exercise statutory rights that cannot lawfully be waived. Consumers residing in jurisdictions granting mandatory local dispute resolution protections retain those protections to the extent required by law.


Alternative Dispute Resolution: For consumers located in the EU or UK, we remain open to attempting informal dispute resolution or mediation where appropriate. Although we are not currently obligated to participate in any specific EU or UK Alternative Dispute Resolution (“ADR”) program, we may voluntarily consider ADR requests on a case-by-case basis where commercially reasonable.

 

User Conduct and Site Use

When using our Website, you agree to use it only for its intended lawful purposes, including browsing products, placing orders, managing subscriptions, and communicating with customer support.
